1. Acceptance of Terms

By accessing or using Lock, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

2. Your Responsibility

You are solely responsible for safeguarding your Master Password and your unique Recovery Key. We cannot recover your vault if you lose both credentials due to our zero-knowledge security architecture.

3. Intellectual Property Rights & Copyright Protection

The Lock service and its original content, features, and functionality are and will remain the exclusive property of Perks Express, Inc. and its licensors. The service is protected by copyright, trademark, and other laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our service without our prior written consent.

4. Prohibition Against Reverse Engineering

You expressly agree that you will not, and will not permit others to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Lock
• Create derivative works based on Lock or any portion thereof
• Copy, reproduce, or duplicate any part of Lock for commercial purposes
• Remove, alter, or obscure any proprietary notices or labels on Lock
• Use any automated means to access Lock or collect information from our service

This prohibition exists to protect our intellectual property and the security of all users. Violation of these terms may result in immediate termination of your account and legal action.

5. DMCA Copyright Protection

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been copied and is accessible on Lock in a way that constitutes copyright infringement, you may notify us by providing our DMCA agent with the following information:

• A physical or electronic signature of the copyright owner or authorized representative
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
• Your contact information, including address, telephone number, and email address
• A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
• A statement that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner

6. Limitation of Liability

6.1 "As Is" & No Warranty. Lock is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Perks Express, Inc. does not warrant that the service will be uninterrupted, error-free, or secure, or that your data will always be recoverable.

6.2 Exclusion of Consequential Damages. To the fullest extent permitted by law, in no event shall Perks Express, Inc., its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, lost revenue, lost data, business interruption, or the inability to access your vault — whether arising from your use of (or inability to use) Lock, a security incident, a platform outage, or any other cause — even if Perks Express, Inc. has been advised of the possibility of such damages.

6.3 Liability Cap. In no event shall Perks Express, Inc.'s total aggregate liability to you for any claim arising out of or relating to the service exceed the total amount you paid to Perks Express, Inc. for the Lock service in the twelve (12) months immediately preceding the event giving rise to the claim.

6.4 Third-Party Infrastructure Disclaimer. Lock is built on and relies upon third-party cloud infrastructure, hosting providers, authentication services (including Google OAuth), and backend-as-a-service platforms (including Base44 and Supabase) for data storage, authentication, and application delivery. Perks Express, Inc. is not responsible for and shall not be liable for any downtime, service interruption, data loss, security breach, or other failure caused by these upstream third-party providers. You acknowledge that the availability and security of Lock is partially dependent on infrastructure Perks Express, Inc. does not control.

6.5 Zero-Knowledge Architecture Disclaimer. Because Lock uses Zero-Knowledge Encryption, Perks Express, Inc. does not hold, store, or transmit your Master Password or Recovery Key. If you lose both your Master Password and your Recovery Key, your encrypted data is mathematically irrecoverable — no one, including Perks Express, Inc. support staff, can reset or retrieve it. You acknowledge and accept this inherent design constraint.

6.6 User Device Security. Perks Express, Inc. is not liable for data loss or unauthorized access resulting from malware, keyloggers, compromised devices, weak Master Passwords chosen by you, or sharing of credentials with third parties. You are solely responsible for the security of the devices you use to access Lock.

7. Indemnification

You agree to indemnify, defend, and hold harmless Perks Express, Inc. and its officers, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your misuse of the Lock service or violation of these Terms;
• Your storage of illegal, infringing, or unauthorized materials in your vault;
• Your use of a weak or compromised Master Password, or failure to safeguard your credentials;
• Any breach of the security of the device or network you use to access Lock; or
• Any claim that your use of Lock caused damage to a third party.

Perks Express, Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with Perks Express, Inc. in asserting any available defenses.

8. Privacy and Data Protection

Your privacy is important to us. Our zero-knowledge architecture ensures that we cannot access your encrypted data. Please review our Privacy Policy for detailed information about how we handle your data.

9. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

11. Perks Express Ecosystem

Lock is proudly developed and operated by Perks Express, Inc., the parent company behind a growing family of applications designed to help people manage, protect, and improve their financial lives.

As a Lock member, you are part of the Perks Express ecosystem. This means that from time to time, as a Lock Pro subscriber, you may receive information about other products and services offered under the Perks Express umbrella — such as our Perks Express Savings & Discounts Portal, which provides members with exclusive deals, offers, and savings opportunities.

Any such communications will be relevant to your membership, offered as a value-added benefit of being a Lock Pro member, and will never involve the sale or sharing of your personal data with third parties. You may opt out of these communications at any time by contacting us at support@locked4you.com.

Perks Express, Inc. may introduce additional applications and services in the future. Lock Pro members will be among the first to be informed of new offerings as they become available.
